1. Introduction

Welcome to Soulfire Global Music (“Soulfire,” “Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, and music distribution services (collectively, the “Services”). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Eligibility & Account Registration

To use our Services, you must meet the following requirements:

• You are at least 18 years of age, or the age of majority in your jurisdiction. If you are between 13 and 18, you may only use the Services with the consent and supervision of a parent or legal guardian.
• You provide accurate, current, and complete registration information and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Content Ownership & Rights

You keep 100% of your rights. Soulfire Global Music does not claim any ownership over the music, audio recordings, artwork, metadata, or any other content you upload to our platform (“Your Content”). You retain all rights, title, and interest in and to Your Content.

By uploading Your Content to our platform, you grant us a limited, non-exclusive, worldwide, royalty-free license to reproduce, distribute, and publicly perform Your Content solely for the purpose of delivering it to the digital streaming platforms (DSPs) and stores you select. This license terminates when you remove Your Content from distribution.

4. Distribution Services

Soulfire Global Music provides digital music distribution services, which include:

• Delivery of your music and metadata to 150+ digital streaming platforms and stores worldwide.
• Collection and reporting of royalties generated from streams and downloads.
• AI-powered content verification to protect catalog integrity.
• Access to platform tools for release management, analytics, and royalty tracking.

We reserve the right to reject or remove content that does not meet DSP requirements, contains prohibited material, or violates these Terms. Distribution timelines depend on DSP processing and are not guaranteed.

5. Payments, Royalties & Fees

Our payment terms are designed to be transparent and artist-friendly:

• You receive the royalty share specified in your selected plan for all revenue generated from your distributed content.
• Royalties are calculated based on reports received from DSPs and stores, which may take 30–90 days after the end of each reporting period.
• Payouts are processed according to your selected payment method once your balance reaches the minimum threshold.
• Any applicable subscription fees or commission percentages are clearly displayed on our pricing page and at checkout.
• You are responsible for any taxes, bank fees, or currency conversion charges associated with your payouts.

6. Prohibited Content & Conduct

You agree not to upload, distribute, or promote content that:

• Infringes upon the copyright, trademark, or intellectual property rights of any third party.
• Contains hate speech, promotes violence, or harasses any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Contains illegal material or promotes illegal activities.
• Contains malware, viruses, or any code designed to disrupt or harm systems.
• Violates the terms of service or content policies of the digital streaming platforms to which we distribute.
• Includes deceptive metadata, stream manipulation, artificial streaming, or any fraudulent activity intended to inflate royalty payments.

We reserve the right to remove any content that violates this section and to suspend or terminate accounts of repeat offenders.

7. Account Termination

Termination can occur under the following circumstances:

By You: You may cancel your account at any time by contacting our support team. Upon cancellation, your content will be removed from distribution, subject to DSP takedown processing times. You will receive any outstanding royalties earned up to the date of cancellation.

By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if your account remains inactive for an extended period. We will provide reasonable notice before termination unless immediate action is required to prevent harm or legal liability.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Soulfire Global Music and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services. This includes, but is not limited to, loss of profits, revenue, data, or goodwill, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred US dollars (USD $100), whichever is greater.

9. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the availability, reliability, accuracy, or fitness for a particular purpose of the Services. We do not guarantee uninterrupted access or that the Services will be free from errors or harmful components.

10. Indemnification

You agree to indemnify, defend, and hold harmless Soulfire Global Music and its affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, your infringement of any third-party rights, or your Content.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.

12. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on our website. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms. If you do not agree with the changes, you must discontinue use of the Services.
